Terms of Service

These Terms of Service ("Terms") govern your access to and use of LifeOS AI (the "Service"), including our website, web application, and AI Coach features, operated by LifeOS AI, a company registered in the Republic of South Africa ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. Eligibility and registration

You must be at least 18 years old, or the age of legal majority in South Africa, to register. By registering you confirm that the information you provide is accurate and complete and that you have the legal capacity to enter into this agreement. Accounts are personal and may not be shared or transferred.

2. The Service

LifeOS AI is a personal operating system that helps you track goals, habits, tasks, journal entries, finances, health, and other life areas, and provides an AI Coach that analyses your data to suggest actions. The Service is provided on a software-as-a-service basis. We may update, suspend, or discontinue features at any time and will use reasonable efforts to notify you of material changes.

3. Subscriptions and payments

Certain features require a paid subscription. Subscription fees, billing cycles, and tiers are displayed on our Plans page. Payments are processed through our payment partner, iKhokha, and your use of that service is subject to their terms. All fees are payable in advance in South African Rand (ZAR) unless otherwise stated and are inclusive of VAT where applicable. Subscriptions renew automatically unless cancelled. You may cancel at any time; access continues until the end of the current paid period. Refunds, where due, are handled in accordance with the Consumer Protection Act 68 of 2008 ("CPA").

4. Your content and data

You retain ownership of the personal data and content you submit to the Service ("User Content"). You grant us a limited licence to process your User Content as necessary to provide and improve the Service. You are responsible for the accuracy and lawfulness of your User Content and must not upload content that infringes the rights of any third party or that is unlawful. How we process your personal information is described in our Privacy Policy and POPIA Notice.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in breach of these Terms or applicable law;
• Attempt to gain unauthorised access to the Service, its systems, or another user's data;
• Reverse engineer, decompile, or otherwise attempt to extract source code or underlying ideas;
• Introduce malware, viruses, or any code that may disrupt the Service;
• Use the AI Coach outputs to make decisions causing harm to yourself or others, or to replace professional advice.

6. AI Coach and no professional advice

The AI Coach provides general, data-driven suggestions based on the information you enter. It is not a medical, psychological, legal, financial, or investment advisor, and its outputs do not constitute professional advice. You remain solely responsible for decisions you make based on the Service and should consult a qualified professional for matters requiring specialist expertise. See our Disclaimer for full details.

7. Intellectual property

The Service, including its software, design, branding, and content (excluding your User Content), is owned by or licensed to us and protected by South African and international intellectual property laws. Nothing in these Terms transfers any IP rights to you except the limited licence to use the Service in accordance with these Terms.

8. Privacy and POPIA

Our handling of your personal information complies with the Protection of Personal Information Act 4 of 2013 ("POPIA") and is detailed in our Privacy Policy and POPIA Notice. By using the Service you consent to the processing of your personal information as described therein.

9. Limitation of liability

Subject to the rights conferred on consumers by the CPA, which cannot be excluded, the Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or opportunity, arising from your use of or inability to use the Service. Our aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you have paid us in the three (3) months preceding the event giving rise to the claim.

10. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, or damage (including reasonable legal costs) arising from your breach of these Terms, your User Content, or your misuse of the Service.

11. Termination

You may delete your account at any time from within the Service. We may suspend or terminate your access if you breach these Terms, if your account remains inactive, or to comply with legal obligations. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our retention schedule.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via the Service or by email. Continued use after the effective date constitutes acceptance of the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of South Africa. This agreement is concluded in, and the Electronic Communications and Transactions Act 25 of 2002 ("ECT Act") applies to, electronic communications and transactions hereunder. Any dispute will be resolved by negotiation in good faith and, if unresolved, by referral to arbitration in Johannesburg under the rules of the Arbitration Foundation of South Africa (AFSA), or as otherwise directed by a competent South African court.
